1. Agreement to these terms
These Terms form a binding agreement between you and ZentraDesk. By using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
2. What we provide
ZentraDesk provides an AI front desk system for local service and appointment-based businesses. The Services may include an AI receptionist that answers and places calls, follows up on web-form leads, schedules appointments, logs activity to a customer relationship management (CRM) system, and sends internal notifications. Specific features available to a business are defined in the agreement between ZentraDesk and that business.
3. Demo line & Zenny
Our demo line and AI receptionist ("Zenny") are provided so you can experience the Services. Calls to the demo line may be recorded, transcribed, and processed by automated systems, as described in our Privacy Policy. The demo is provided for evaluation purposes and may be changed, limited, or discontinued at any time.
4. Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms.
5. Bookings & fit calls
When you book a fit call or appointment through the Services, you agree to provide accurate information. Scheduling is facilitated through a third-party booking provider. We are not responsible for missed appointments, scheduling errors caused by inaccurate information, or the availability of any particular time slot.
6. Acceptable use
You agree not to:
- Use the Services for any unlawful, harassing, fraudulent, or abusive purpose;
- Attempt to disrupt, overload, reverse engineer, or gain unauthorized access to the Services or related systems;
- Use the Services to transmit spam, malware, or other harmful content; or
- Misrepresent your identity or impersonate any person or business.
7. No guarantees of results
The Services are designed to help businesses respond to leads and customers more quickly, but we do not guarantee any specific outcome, level of revenue, number of bookings, conversion rate, or business result. Any examples, figures, or sample interactions shown on our website are illustrative only and are not promises of performance.
8. Third-party services
The Services integrate with and depend on third-party providers, including telephony and voice-AI platforms, CRM and scheduling tools, team-messaging tools, and cloud hosting. We are not responsible for the availability, accuracy, or actions of third-party services, and your use of them may be subject to their own terms.
9. Intellectual property
The Services, including the ZentraDesk name, logo, website, software, and content, are owned by ZentraDesk or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the website and demo for their intended purpose. You may not copy, modify, distribute, or create derivative works without our prior written permission.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or that AI-generated transcripts, summaries, or responses will be complete or accurate.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENTRADESK AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless ZentraDesk and its owners, employees, and suppliers from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services or your violation of these Terms or applicable law.
13. Governing law
These Terms are governed by the laws of the State of Maine, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Maine, and you consent to their jurisdiction.
14. Changes to these terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
